These Terms of Service ("Terms") govern your access to and use of the Automa Solutions Meta Ads Management MCP (Model Context Protocol) Server ("Service") provided by LCLA Media Pty Ltd (trading as "Automa Solutions," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Automa Solutions provides an MCP server that acts as an intermediary bridge between AI clients (such as Claude, ChatGPT, or other language models) and the Meta Marketing API. Our Service enables you to:

  • Query and analyze your Meta advertising campaign performance through natural language commands

  • Create, modify, and manage Meta advertising campaigns via conversational interfaces

  • Access real-time advertising data and insights

  • Execute advertising operations through AI-assisted workflows

Important: Our Service does not store or retain your Meta advertising data. We function solely as a real-time bridge between your AI client and Meta's servers.

3. Eligibility

You must meet the following requirements to use the Service:

  • Be at least 18 years of age

  • Have a valid Meta Business account with appropriate advertising permissions

  • Have the legal authority to manage the Meta advertising accounts you connect

  • Comply with Meta's Platform Terms, Business Tools Terms, and Advertising Policies

  • Not be located in a country subject to U.S. or Australian government embargo or designated as a "terrorist supporting" country

4. Account Authentication and Security

4.1 Meta Account Connection

To use the Service, you must authenticate with Meta and grant our application the necessary permissions (ads_management, ads_read, and potentially business_management). You are responsible for:

  • Maintaining the confidentiality of your Meta account credentials

  • All activities that occur under your authenticated connection

  • Ensuring you have proper authorization to manage the connected advertising accounts

4.2 Revoking Access

You may revoke our Service's access to your Meta account at any time through your Meta Business settings. Revocation will immediately prevent our Service from accessing your advertising data.

5. User Responsibilities and Acceptable Use

5.1 Compliance with Meta Policies

You agree to comply with all applicable Meta policies, including but not limited to:

  • Meta Advertising Policies

  • Meta Community Standards

  • Meta Platform Terms

  • Meta Business Tools Terms

5.2 Prohibited Uses

You may not use the Service to:

  • Violate any laws, regulations, or third-party rights

  • Create, manage, or promote advertising content that violates Meta's Advertising Policies

  • Access or manage advertising accounts without proper authorization

  • Attempt to circumvent Meta's API rate limits or access restrictions

  • Reverse engineer, decompile, or attempt to extract the source code of our Service

  • Use the Service for any automated or bulk operations that violate Meta's terms

  • Interfere with or disrupt the integrity or performance of the Service

  • Access the Service using methods other than the provided interface

5.3 User Confirmation Requirements

You acknowledge that all actions that modify your Meta advertising campaigns (creating, editing, pausing, etc.) require your explicit confirmation through your AI client interface. You are responsible for reviewing and approving all changes before execution.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all software, code, documentation, and materials, is owned by LCLA Media Pty Ltd and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Advertising Data

You retain all rights to your Meta advertising data. We do not claim any ownership over your campaigns, creative content, or advertising strategies. As stated in our Privacy Policy, we do not store or retain your advertising data.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you or keep them confidential.

7. Service Availability and Modifications

7.1 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to:

  • Scheduled maintenance or updates

  • Meta API downtime or changes

  • Technical issues or system failures

  • Network connectivity problems

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

7.3 Meta API Dependency

The Service depends on Meta's Marketing API. Changes to Meta's API, policies, or available features may affect Service functionality. We are not responsible for disruptions caused by Meta's platform changes.

8. Pricing and Payment

Pricing for the Service is established separately through commercial agreements or published on our website. You agree to pay all applicable fees according to the pricing terms in effect at the time charges are incurred.

Meta Advertising Costs: You are solely responsible for all advertising spend and costs incurred on your Meta accounts. We do not control or process advertising payments—these are handled directly between you and Meta.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will meet your specific requirements or expectations

  • The Service will be uninterrupted, timely, secure, or error-free

  • Results obtained from using the Service will be accurate or reliable

  • AI-generated recommendations or suggestions will be optimal or successful

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LCLA MEDIA PTY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue

  • Lost advertising spend or wasted ad budget

  • Business interruption

  • Loss of data or information

  • Poor advertising performance resulting from AI recommendations

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 AUD, WHICHEVER IS GREATER.

9.3 Advertising Performance Disclaimer

We do not guarantee specific advertising results, performance metrics, or return on investment. Advertising effectiveness depends on numerous factors beyond our control, including your creative content, targeting strategy, budget allocation, and market conditions. You are solely responsible for your advertising decisions and outcomes.

10. Indemnification

You agree to indemnify, defend, and hold harmless LCLA Media Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service

  • Your advertising content or campaigns

  • Your violation of these Terms or any applicable laws

  • Your violation of Meta's policies or terms

  • Your infringement of any third-party rights

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Service or until terminated by either party.

11.2 Termination by You

You may terminate your use of the Service at any time by:

  • Revoking our application's access through Meta Business settings

  • Emailing liam@automa.solutions to request account disconnection

11.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach these Terms

  • You violate Meta's policies or terms

  • Your use of the Service poses security or legal risks

  • Required by law or regulatory authority

  • We discontinue the Service

11.4 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases

  • We will delete your authentication tokens within 48 hours

  • Sections of these Terms that by their nature should survive termination will remain in effect (including indemnification, disclaimers, and limitations of liability)

12. Privacy and Data Protection

Our collection and use of information is governed by our Privacy Policy, available at automa.solutions/privacy-policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

Key Privacy Points:

  • We do not store or retain your Meta advertising data

  • We function as a real-time bridge between your AI client and Meta's API

  • Authentication tokens are stored securely and can be deleted upon request

  • Technical logs are retained for 90 days for operational purposes

13. Meta Platform Compliance

By using the Service, you acknowledge and agree that:

  • You are subject to Meta's Platform Terms in addition to these Terms

  • Meta may revoke our application's access at any time, affecting Service functionality

  • We act as a technology provider and are not responsible for Meta's policy enforcement

  • You must comply with all Meta advertising policies for content created through the Service

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LCLA Media Pty Ltd regarding the Service and supersede all prior agreements and understandings.

15.2 Modifications to Terms

We may modify these Terms at any time by posting updated Terms with a new "Last Updated" date. Continued use of the Service after modifications constitutes acceptance of the updated Terms. Material changes will be communicated via email or Service notification where possible.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or Meta platform changes.
